These Terms of Service ("Terms") are a binding agreement between you ("Customer," "you") and RingMines ("RingMines," "we," "us"). By signing up for or using the RingMines service (the "Service") you agree to these Terms. If you do not agree, do not use the Service.

§ 1Eligibility and account

You must be at least 18 years old and have authority to bind the business you represent. You are responsible for maintaining the confidentiality of your account credentials and for all activity on your account.

§ 2The Service

RingMines answers inbound phone calls to a dedicated business number on your behalf using an AI receptionist. Features may include call answering, appointment booking, FAQ handling, urgency triage, call transcripts and summaries, SMS follow-up, and CRM or calendar integrations. The specific features available to you depend on the plan you subscribe to.

§ 3Subscription, fees, and taxes

  • The Service is sold on a month-to-month subscription at the price of your selected plan.
  • Fees are charged in advance at the start of each billing cycle and are non-refundable except as stated in Section 4.
  • You authorize us and our payment processor to charge the payment method on file for recurring fees, applicable usage overages, and taxes.
  • We may change prices with at least 30 days' notice by email. Price changes take effect at the start of your next billing cycle.
  • Taxes, if any, are your responsibility unless we are required to collect them.

§ 4Free trial and refunds

Refund policy
  • New customers may be offered a free trial of up to 14 days. If you cancel during the trial, you will not be charged.
  • Outside of a trial, if you are dissatisfied with your first paid month, email us within 14 days of the first charge and we will refund that first month's subscription fee. This "first-month money-back" applies once per customer and excludes any per-minute telephony overages and third-party pass-through costs.
  • After the first paid month, the Service is non-refundable. You may cancel at any time; cancellation takes effect at the end of the current billing period.

§ 5Customer data and call content

As between you and RingMines, you own all data you submit to the Service and all call content collected on your behalf ("Customer Data"). You grant RingMines a non-exclusive, worldwide license to use Customer Data solely to (a) provide and improve the Service for you, (b) meet legal obligations, and (c) produce aggregated, de-identified statistics that cannot reasonably be used to identify you or your callers. Our handling of Customer Data is further described in our Privacy Policy.

§ 6Caller disclosures and legal compliance

You acknowledge that RingMines records and transcribes calls to provide the Service. We play an opening disclosure informing callers that the call may be recorded and that an AI receptionist is answering. You remain responsible for any additional notices, consents, or warnings required by the laws of the jurisdictions where your callers are located (including but not limited to all-party consent states and industry-specific rules such as HIPAA for covered entities). If you are a HIPAA-covered entity and need a Business Associate Agreement, contact us before onboarding.

§ 7Acceptable use

You agree not to use the Service to:

  • Violate any law or regulation, including telemarketing, TCPA, CAN-SPAM, Do-Not-Call, or consumer-protection laws.
  • Place outbound calls to anyone who has not consented to be contacted.
  • Impersonate any person or entity.
  • Run adult, illegal-drug, gambling (except where properly licensed), firearms, hate, or harassment lines.
  • Attempt to reverse-engineer the Service, scrape proprietary content, or circumvent security.
  • Overwhelm the Service or use it in a way that harms other customers.

§ 8SMS / text messaging

If the Service sends SMS on your behalf, you are the "sender" for regulatory purposes and represent that each recipient has given prior express consent to receive messages. You agree to honor STOP / HELP keywords and opt-out requests. We may require A2P 10DLC registration and brand verification before enabling SMS.

§ 9Suspension and termination

We may suspend or terminate the Service for material breach of these Terms, non-payment after notice, a good-faith belief of unlawful use, or abuse that puts other customers at risk. You may cancel at any time from your account or by emailing us. On termination, we will stop billing and delete Customer Data per the retention schedule in our Privacy Policy, except records we are legally required to retain.

§ 10Warranty disclaimer

Warranty

The Service is provided "as is" and "as available." To the maximum extent permitted by law, RingMines disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that the AI will always interpret callers correctly. The Service is not a substitute for a human operator for emergencies; callers should dial 911 for life-threatening situations.

§ 11Limitation of liability

Liability cap

To the maximum extent permitted by law, RingMines and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or cost of substitute services, arising out of or related to these Terms or the Service, whether in contract, tort, or any other theory, even if advised of the possibility. Our total aggregate liability for any claim arising out of these Terms or the Service will not exceed the greater of (a) the fees you paid to RingMines in the three (3) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

§ 12Indemnity

You will defend and indemnify RingMines against any third-party claim arising from (a) your use of the Service in violation of these Terms or applicable law, (b) your failure to provide required caller disclosures or consents, or (c) content you supply that infringes or violates a third party's rights.

§ 13Governing law and dispute resolution

These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict-of-laws rules. The exclusive venue for any dispute not subject to arbitration is the state or federal courts located in Cook County, Illinois, and each party consents to personal jurisdiction there.

Informal resolution first. Before filing a claim, the complaining party must first send a written notice of the dispute to the other party describing the claim and allowing at least 30 days to resolve it informally.

Small-claims carve-out. Either party may bring a qualifying claim in small-claims court.

§ 14Changes to these Terms

We may update these Terms. We will post the updated Terms on this page and update the "Last updated" date. For material changes we will give at least 30 days' notice by email to the account owner. Continued use of the Service after the effective date constitutes acceptance.

§ 15Miscellaneous

  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between the parties regarding the Service.
  • Severability. If any provision is held unenforceable, the rest remain in effect.
  • No waiver. Failure to enforce a provision is not a waiver of it.
  • Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Force majeure. Neither party is liable for delay or failure caused by events beyond reasonable control.
